Italian entity or EOR: fixed costs against variable costs
Last modified on November 5, 2026 • 6 min read • 1,079 wordsMost cost comparisons between an Italian entity and an Employer of Record (EOR) list prices side by side. That misses the real difference. The two options split costs differently. An entity is mostly fixed cost. An EOR is mostly variable cost. Which one is cheaper depends on how many people you hire, and how sure you are about keeping them.
What an Italian entity costs
An entity has costs that start before anyone is hired. They do not stop if the hire does not work out.
- Setup. You need a deed of incorporation, a notary, a registered office, a tax code, and a bank account. Each step takes time from your legal and finance staff.
- Local administration. You need an accountant for statutory books and tax filings. You need a payroll provider or an in-house payroll function. You need a labour consultant who knows the national contract that applies to your sector.
- Governance. Someone must act as legal representative. Someone must sign filings. Often a local director or a trusted manager has to be found, paid, and supervised.
- Compliance upkeep. Annual accounts, tax returns, social security registrations, workplace safety duties, and insurance all recur whether you employ one person or many.
- Management time. Your head office spends hours on approvals, signatures, and questions from local advisers. This cost is rarely written down, but it is real.
These are fixed costs. You pay them at the start and keep paying them. The cost per employee is low only when the headcount is large enough to spread them.
What an EOR costs
With an EOR, the provider is the legal employer in Italy. You direct the daily work. The provider handles contracts, payroll, social security, and local compliance.
The cost structure is different:
- No setup. You do not incorporate, open a bank account, or appoint a legal representative.
- A fee that grows with headcount. You pay a service fee per employee, on top of the employment cost itself. If you have no employees, you pay nothing.
- No separate payroll or accounting build. The provider already has the systems and the advisers.
- Less management time. You approve the hire and the pay. The provider handles the rest.
This is a variable cost. It rises as you hire and falls as you reduce. You can start with one person and add more as the market proves itself.
The employment cost is the same in both cases
One point is often confused. Salary, employer social security contributions, and statutory pay items come from Italian rules. They apply to the employer no matter who that is. An entity does not make them cheaper, and an EOR does not make them higher in themselves.
So the comparison is not about the employment cost. It is about everything around it: the structure you must build and run, against the fee you pay for someone else to run it.
How to think about the break-even
There is no universal headcount where an entity wins. The answer depends on a few things you can estimate yourself.
- Total fixed cost of the entity per year. Add up the accountant, the payroll function, the legal representative, the registered office, and the management time.
- Total EOR fee per year. Multiply the per-employee fee by the planned headcount.
- Certainty of the plan. If you are testing the market, the fixed cost is a bet. If the project fails, you still carry the entity and the cost of closing it.
- Other business in Italy. If you plan to sell, sign local contracts, or hold assets, you may need an entity anyway. Then the EOR is a bridge, not a replacement.
A small team, a first hire, or an uncertain pilot favours the variable model. A large, stable team with a long-term local presence favours the fixed one.
Costs people forget
A few items hide in the fixed side:
- Closing costs. Winding up an entity takes time and professional fees. An EOR contract ends with notice and a handover.
- Delay. Setting up an entity takes time before the first hire can start. A delayed hire is a cost in lost sales or lost delivery.
- Errors. A mistake in contract type, payroll, or registration can lead to penalties. An entity carries that risk directly. With an EOR, the provider carries part of it under the service agreement. Check the contract to see exactly which part.
A practical way to decide
Write two columns. In the first, list every cost that exists even with zero employees. In the second, list every cost that appears only when you hire. For the entity, most items land in the first column. For the EOR, almost all land in the second.
Then ask a simple question. If your Italian plan changes in six months, which column hurts more? If the answer is the first, start with an EOR. You can move to an entity later, once headcount and revenue justify the fixed cost.
