When do sales staff in Italy create a taxable presence for your foreign company? A high-level look at the risk and how an Employer of Record helps manage it.
Permanent establishment risk when your staff sell in Italy

You want to sell in Italy. You find a good salesperson. You hire them directly or through a contractor. Then a question comes up: does this person create a taxable presence for your company in Italy?

This is the permanent establishment question, often shortened to PE. It is a tax concept. It decides whether a foreign company has a taxable footprint in a country. This article gives a high-level view. It is not tax advice. Your own advisers should confirm the position for your case.

What a permanent establishment means

A permanent establishment is a fixed place of business, or a person acting in a way that binds the company locally. If you have one in Italy, Italy may tax the profits linked to that activity. You may also have to register, file returns and keep local accounts.

Most countries use a similar idea. The details come from Italian domestic rules and from the tax treaty between Italy and your home country. The treaty often narrows the rules. It rarely removes the risk.

Why sales staff are a common trigger

Selling is the activity that most often creates a PE. Tax authorities look at what the person actually does, not at the job title or the contract.

The main warning signs are these:

  • The person negotiates the key terms of contracts with Italian customers.
  • The person habitually concludes contracts, or plays the main role in concluding them.
  • Your company then signs without any real change to what was agreed.
  • The person works from a fixed location that your company can use, such as a home office you rely on.
  • The person acts only for your company, and your company directs the work.

If these points apply, the authority may say your company has a taxable presence. It may say so even if the person is not your employee.

Preparatory work is treated differently

Some activity is seen as preparatory or auxiliary. Examples are market research, passing on information, and general promotion. Many treaties say this kind of work does not create a PE.

The line is thin in practice. A salesperson who only introduces leads is on one side. A salesperson who agrees price and terms is on the other. Many roles drift from the first to the second without anyone noticing.

Common mistakes

Companies often assume that a freelancer or agent protects them. It does not, if that person works only for you and closes deals for you.

Companies also assume that signing contracts abroad solves the issue. It does not, if the real negotiation happens in Italy.

Another mistake is to wait. A PE can exist from the day the activity starts. Tax authorities can look back. Late discovery means back taxes, penalties and interest, plus the cost of untangling the records.

What a PE can lead to

The consequences depend on your facts. They usually include some of the following:

  • Corporate income tax on profits attributed to Italy.
  • Registration and filing duties.
  • Questions about VAT on local sales.
  • Closer review of how your staff are paid and which payroll rules apply.
  • Disputes between tax authorities, and the cost of resolving double taxation.

None of this is automatic. But the risk is real enough to plan for before the first hire.

Ways to manage the risk

There are several options. Each has trade-offs.

Limit the role. Keep the person to lead generation and promotion. Contract terms are agreed by someone outside Italy. This is simple, but it limits sales results.

Set up a local entity. You create an Italian company. It sells and pays tax locally. This is clean and gives you control. It also takes time, needs management and brings ongoing compliance work.

Use an Employer of Record. An Employer of Record, or EOR, becomes the legal employer of your Italian staff. It runs payroll, contributions and employment compliance. This solves the employment side fast.

An EOR does not remove the PE question by itself. Be clear on this point. The tax presence depends on what your salesperson does for your company. If they close deals for you in Italy, the PE risk can remain even if an EOR employs them.

What an EOR does give you is a correct employment base and clean records. It lets you hire without a local entity while you test the market. It also gives you time to take proper tax advice and shape the role.

A practical approach

Before you hire in Italy, answer these questions in writing:

  • What will the person do each day?
  • Who agrees price and terms with customers?
  • Where does the person work, and who controls that place?
  • Does your company sign what the person negotiates?
  • What does your home country treaty with Italy say?

Then review the answers with a tax adviser. Review them again when the role grows. A role that starts as lead generation often turns into full selling.

The bottom line

Sales activity in Italy can create a taxable presence for a foreign company. The risk comes from what the person does, not from how you hire them. Plan the role, take advice early, and keep employment compliance clean.
